
| BANKRUPTCY: |
| Alan C. Stout concentrates in bankruptcy matters, representing debtors, creditors, committees and trustees.. The practice is concentrated primarily in all
divisions of the U.S. Bankruptcy Court, Western District of Kentucky,
including the Paducah, Owensboro, Bowling Green, and Louisville divisions,
as well as the Southern District of Illinois. He has served as a chapter 7
panel trustee since 1986. Mr. Stout represents clients
in all areas of bankruptcy including consumer (Chapter 7), business
reorganization (Chapter 11), individual reorganization (Chapter 13), and
family farm reorganization (Chapter 12). Additionally, Mr. Stout works
with individual, small business, and corporate clients to seek
reorganization or financial restructuring outside of bankruptcy, if
possible. Mr. Stout is a charter member of the Bankruptcy Section of the
Kentucky Bar Association.

| General corporate legal services are provided including corporate
formation, corporate acquisitions and transactions. In addition to
traditional corporate legal services, we work very closely with corporate
management to advise businesses relative to growth management matters and
long-term strategic planning. The firm serves as general counsel and/or

| PROBATE/ESTATE PLANNING: |
| The firm has a large concentration in probate and estate planning
matters. Progressive estate planning techniques are utilized which
incorporate inter discipline cooperation with other professions (i.e.
insurance services, C.P.A.'s, Banks, financial planners, etc.) to assist,
when appropriate, in a coordinated "team approach" to estate
planning and asset preservation.

| REAL ESTATE: |
| The firm routinely handles both commercial and residential real estate
matters including preparation of deeds, mortgages, and other transaction
documents; title
examinations; and real estate closings. The firm is an authorized title
insurance agent for Commonwealth Land Title Insurance Company.

| HEALTH CARE/ELDER LAW: |
| As Western Kentucky has continued to develop as a retirement area, the
firm has focused more on health care and elder law issues. We routinely advise
clients in regard to advance directive matters (living wills, health care
surrogate, and durable powers of attorney) as well as Medicare and
Medicaid matters. Additionally, the firm represents Family Practice
Clinic, PSC; and the Crittenden Health Systems Group including Crittenden
County Hospital; and Marion Home Health. Mr. Stout is a charter
member of the Health Care Law Section of the Kentucky Bar Association.

| PERSONAL INJURY: |
| The firm represents plaintiffs (injured parties and their families) in
regard to personal injury and wrongful death actions in both state and
federal courts.

| TURNAROUND/WORKOUT: |
| Mr. Stout works extensively in the area of "Workout
Consulting." This highly specialized area includes working closely
with corporate management to initiate a turnaround of the company. The
goal is to restructure the debt and reorganize the company without the
need of seeking Chapter 11 reorganization. However, if the Chapter 11
bankruptcy is necessary to implement the reorganization of the company,
Our Firm is capable of representation of the business client in
the bankruptcy setting. In addition to Mr. Stout's practical experience in
representation of workout clients, he has studied extensively in this area
through professional educational training. Mr. Stout is a frequent
lecturer regarding business reorganization matters. Mr. Stout is a member of the
American Bankruptcy Institute and the Turnaround Management Association.
